In accordance with the applicable provisions of the Illinois Uniform Commercial Code, notice is hereby given that, on Tuesday February 27, 2018, SUNSHINE PARTNERS, LLC, an Illinois corporation (the “Secured Party”) will offer to sell or cause to be sold, at a public sale (the “Sale”) conducted in accordance with the Uniform Commercial Code of the State of Illinois, all right, title, and interest of STRATEGIC MARKETING & PLANNING, INC., an Illinois corporation, doing business as STRATEGIC MARKETING & MAILING, INC. (“Debtor”) in the collateral pledged to the Secured Party consisting of the following: all (a) cash; (b) accounts and other rights to payment; (c) deposit accounts, (d) investment property, (e) money, (f) chattel paper; (g) documents; (h) general intangibles (including software and payment intangibles); (i) goods (including inventory, tools, parts, equipment, machinery, materials, supplies, furniture and fixtures); (j) instruments; (k) supporting obligations and letter of credit rights of Debtor; (l) investment property; (m) records, data, customer lists, accounting records, contract rights, intellectual property, trade names, service marks, licenses, and orders, and (n) all other tangible and intangible personal property of Debtor, whether now owned or hereafter acquired or arising and regardless of where located (the “Collateral”).

The Sale will be held at the following day, time and place:

The Sale of the Collateral shall be to the highest bidder for cash, by certified check, or on terms acceptable terms to the Secured Party, in its sole discretion, without warranties or representations by or recourse to the Secured Party, and subject to the right of the Secured Party to credit bid at the sale in any amount up to the aggregate amount due the Secured Party under various loan agreements and related loan documents (collectively, the "Loan Documents") between Debtor and the Secured Party. The Secured Party reserves the right to reject all bids and to postpone or adjourn the Sale and to re-notice the time and date of the auction to such other day and time as the Secured Party deems appropriate. The Collateral is being sold as a single lot, or in any other commercially reasonable manner, all as determined by Secured Creditor, in its sole discretion.

If competing offers with different terms and conditions are submitted, the Secured Party will determine which offer will be accepted, and its decision in this regard will be final. The Secured Party reserves the right, on or prior to the date of the Sale, to modify, waive, or amend any terms or conditions of the Sale or to impose any other conditions on the Sale.

The Collateral is being sold on an “AS IS, WHERE IS” basis. The Sale will be made without recourse, covenants, warranties or representations of any kind, whether, express or implied (including warranties as to value, count, possession, or fitness for a particular purpose, merchantability or condition), to satisfy the current indebtedness and obligations of the Debtor to the Secured Party under the terms of the Loan Documents. Secured Party is not selling any leased property, whether real or personal.

Any bidder wishing to make an offer for the Collateral must deposit with Meyer Capel, A Professional Corporation, more than 24 hours prior to the Sale, the sum of $100,000.00 in readily available funds. Any bidder wishing to make an offer for the Collateral, and who has the made requisite deposit of $100,000.00, may bid at the Sale. The Secured Party reserves the right to determine the qualifications of any bidder, including the ability to close the transaction on the terms and conditions referenced herein. All bidding for the Assets shall be conducted in the same room with the identity and bid terms of all bidders fully disclosed and on the record as recorded by a court reporter. All subsequent overbids shall be at least Twenty-Five Thousand ($25,000) greater than the then prevailing bid in the Sale. At the conclusion of the Sale, the Secured Party shall declare on the record which bid has been declared the highest and best bid accepted and shall recite the terms of winning bid into the record with the concurrence of the prevailing bidder. Advance deposits of unsuccessful bidders are fully refundable and will be returned promptly (but in any event within three (3) business days) after the Sale.

If a bid is accepted by the Secured Party, the successful bidder must deposit, at the conclusion of the Sale, an additional $100,000.00 in readily available funds. The balance of the accepted bid must be paid within 48 hours following the conclusion of the Sale, via certified or cashier's check or wire transfer. If the Secured Party accepts a bid, the successful bidder will receive a quitclaim bill of sale or transfer statement. If any successful bidder fails to timely close and fund the transaction that was accepted by Secured Party at the Sale, such bidder shall forfeit all of its monies on deposit and Secured Party shall thereupon be free to sell the Collateral to the next highest bidder, or Secured Party may thereupon bid a portion or all of its debt.

The Debtor may request an accounting of the unpaid indebtedness secured by the Collateral. Any interested bidder may request further information regarding the Sale by contacting counsel for the Secured Party, Evan D. Coobs, Meyer Capel, 306 W.
